WASHINGTON 25 METROPOLITAN DISTRICT NOS. 1, 2, AND 4
2025 ANNUAL REPORT

As required by Section 32-1-207(3)(c), C.R.S., and Section VII of the Service Plan for the Washington 25 Metropolitan District Nos. 1, 2, and 4 (“Districts”), approved by the City of Thornton (“City”) on August 23, 2016, the Districts hereby submit their annual report for the year ending December 31, 2025:

A.                Boundary changes made or proposed:   

District No. 1 proposed the inclusion of approximately 2.890 acres into its boundaries and an Order for Inclusion was granted by the District Court for Adams County on November 6, 2026, and recorded February 6, 2026.

District No. 1 proposed the exclusion of approximately 1.0 acres from its boundaries and an Order for Exclusion was granted by the District Court for Adams County on November 6, 2025, and recorded March 18, 2026.

District No. 2 proposed the inclusion of approximately 2.890 acres into its boundaries and an Order for Inclusion was granted by the District Court for Adams County on November 6, 2026, and recorded February 6, 2026, with an Amended Order for Inclusion Nunc Pro Tunc to November 6, 2025 recorded March 13, 2026.

District No. 2 proposed the exclusion of approximately 1.0 acres from its boundaries and an Order for Exclusion was granted by the District Court for Adams County on November 6, 2025, and recorded March 18, 2026.

District No. 4 proposed the inclusion of approximately 76.395 acres into its boundaries and an Order for Inclusion was granted by the District Court for Adams County on September 23, 2024, and recorded March 18, 2026.

District No. 4 proposed the exclusion of approximately 1.0 acres from its boundaries and an Order for Exclusion was granted by the District Court for Adams County on September 23, 2024, and recorded March 18, 2026.

B.                 Intergovernmental Agreements entered into or terminated: The Districts are a party to the following intergovernmental agreements as of December 31, 2025:

                                            i.            Memorandum of Understanding among the Districts dated September 24, 2018, with an effective date of August 7, 2018.  

(i)                 Partial Termination of Memorandum of Understanding as to District No. 4 dated September 9, 2024.

                                          ii.            Intergovernmental Agreement Regarding Debt Allocation (District No. 4) among the Districts dated September 9, 2024.

                                        iii.            Intergovernmental Agreement Regarding Debt Allocation (District No. 3) among the Districts approved by the Boards on October 31, 2025, with an effective date of March 26, 2026.

C.                 Access information to obtain a copy of rules and regulations adopted: The Districts do not currently have any rules and regulations and there were none proposed during 2025. The Districts’ website address is: https://washington25md.specialdistrict.org/.

D.                Summary of litigation involving the Districts or the Districts’ public improvements: The Districts nor the Districts’ public improvements were involved in any litigation in 2025.

E.                 Status of the District’s construction of public improvements:  The Districts did not construct any public improvements in 2025.

F.                  Conveyances or dedications of facilities or improvements, constructed by the District, to the municipality: The Districts did not convey any facilities or improvements to the City of Thornton in 2025.

G.                Final assessed valuation of the District for the report year: The final assessed valuations of the Districts for 2025: District No. 1: $2,720.00; District No. 2: $40.00; and District No. 4: $40.00

H.                Current year’s budget including a description of the Public Improvements to be constructed in such year: Copies of the 2026 budgets for the Districts are attached hereto. The Districts have no construction plans for 2026.

I.                    Audited financial statements for the reporting year (or application for exemption from audit): The Districts are currently exempt from audit, pursuant to Section 29-1-604, C.R.S.  Copies of the 2025 Applications for Audit Exemption are attached hereto:

J.                   Notice of any uncured events of default by the District, which continue beyond a ninety (90) day period, under any debt instrument: To our knowledge, there are no uncured events of default by the Districts which continue beyond a ninety (90) day period.

K.                Any inability of the District to pay its obligations as they come due, in accordance with the terms of such obligations, which continues beyond a ninety (90) day period: To our knowledge, the Districts have been able to pay their obligations as they come due.
